We are in process of reviewing our CONSTITUTION and here is why:
Existing incorporated societies in New Zealand must re-register under the Incorporated Societies Act 2022 by April 5, 2026, or they will cease to exist. This requires a significant review of their constitutions and processes to ensure compliance with the new law.
Key actions required for societies before the deadline include:
Update the constitution: The society's constitution must be updated to comply with the new Act, including requirements for dispute resolution, governance, and membership. This requires member approval at a general meeting.
Confirm governance structure: A society must have a governing committee with a minimum of three officers, most of whom must be members. Officers must consent in writing and not be disqualified under the Act.
Maintain member information: Societies must have a minimum of 10 members and keep a register of current and past members (for seven years) with their contact details and dates of membership.
Appoint contact person(s): Societies must appoint between one and three contact people over 18 who live in New Zealand.
Ensure financial compliance: Financial statements must be prepared according to XRB standards, and larger societies may need audited accounts.
Apply for re-registration: The application must be filed online with the Companies Office and include the updated constitution and required forms.
If a society does not wish to re-register, it must be properly wound up or dissolved before the April 2026 deadline. Failure to take action will result in deregistration, the loss of its legal status, and potential personal liability for its members.
We plan to hold a Special General Meeting early in 2026 and we are asking our members (People of Ohau) to review the draft constitution discussed at our Committee meeting on 24 November 2025.
